InsideSales.com Affiliate Partner Program

The primary focus of Affiliate Partners is to refer qualified candidates who might benefit from using the InsideSales.com system. If a referred candidate enters into a service contract with InsideSales.com, the Affiliate Partner receives a percentage of the total billed software license fees for up to twelve months.

All companies and entities in the U.S. and Canada are eligible for membership, with no setup or application fees.

Purpose:

This document outlines the current policies, commission payment schedule, and requirements for participating in the InsideSales.com Affiliate Partner Program. This version of the Affiliate Partner Program Description replaces and supersedes any previous versions of the Affiliate Partner Program Description ("The Description").

Affiliate partners also agree to follow the Partner Program Terms and Conditions ("Partner Terms") as part of their ongoing partner membership.

The Affiliate Partner Program Description ("The Description," i.e., this document), and the Partner Program Terms and Conditions ("Partner Terms"), together form the total Affiliate Partner Program Agreement ("the Agreement").

InsideSales.com may change the content of either documents of the Agreement, pursuant to the terms of the Partner Program Terms and Conditions ("Partner Terms"). Please read these policies carefully, as they contain specific membership requirements and benefits applicable to the Partner Program.

1. Joining the InsideSales.com Affiliate Partner Program

Thank you for your interest in the InsideSales.com Affiliate Partner Program. We greatly appreciate our partners' contributions, and recognize your role in helping us make a difference in our clients' success.

Please read carefully the following three sections, outlining membership in the Affiliate Partner Program:

To get started in the Partner Program, submission of the Partner Program Application is required to verify your eligibility for the Program. Submission of an application assumes that you have accepted all of the described information and criteria in the Agreement, constituting this document ("The Description"), as well as the Partner Legal Terms and Conditions. Failure to accept these terms is considered a breach of contract, terminates any and all existing agreements, and nullifies any currently owed partner benefits, or future partner benefits and commissions.

After your application has been submitted and approved, you will begin receiving the membership benefits and commission payments as described below.


2. Membership Eligibility and Requirements

Eligible Partners must conduct business in the United States or Canada (the "Territory").

Qualification under the eligibility requirements, or submission of the Affiliate Partner Program Application does not IN ANY CIRCUMSTANCE guarantee acceptance to the Affiliate Partner Program, or any other Parther Programs offered by InsideSales.com.

A partner, whose application is approved by InsideSales.com and is accepted to the Affiliate Partner Program, is required to accept "The Agreement," evidenced by clicking 'I Accept' on the Affiliate Partner Application form.

This Program Description (including the Partner Program Agreement and any Appendices) represents the entire agreement between the parties relating to the subject matter of this Description. If at any time the Partner is not in compliance with any requirement, InsideSales.com may terminate this Agreement in accordance with Section 12.3 of the Partner Terms.

This Partner Program is for a one-year term, set to automatically renew at the end of the previous term as defined in SECTION 12.1 of the Agreement. Non-termination of the Partner Program, on the part of the Partner, will be construed as acceptance by the Partner to the renewal terms of the Program.


3. Membership Benefits and Resources

The following represents the Partner's benefits and resources under the Partner Program.

Every Affiliate Partner will be issued a unique Referral ID number. This number will be used in a number of different ways to help track each Affiliate's referrals and referral candidates.

When an Affiliate Partner logs in to the Partner Portal, their unique ID is automatically used and stored with any referrals they submit while logged in. Referrals can also be submitted from outside the Partner Portal system, but the Affiliate Partner will need to know, and input their Referral ID with any submissions.

The Referral ID will also need to be included in any incoming referral submissions from Web forms or portals not directly linked to the InsideSales.com domain. InsideSales.com will supply a custom Web form post URL that includes the Referral ID number in the submission, if the Affiliate Partner would like to use it.

Affiliate Partners who use banner ads, or the InsideSales.com logo in any online marketing or promotional material, will be given a resource link to digital media hosted by InsideSales.com that automatically includes the Referral ID in the media link. Any click-throughs on banners or logos hosted in this manner will automatically pass the Referral ID in with the submission.

The Referral ID will be assigned and used for all lead/opportunity tracking by the InsideSales.com sales team. All referral payments and commissions must be tied to the Affiliate Partner's Referral ID to be valid.

As mentioned, Affiliate Partners will also receive a Referral Tracking Post URL, which is a URL address set to accept Web form posts that sends information directly to InsideSales.com's sales team. The Partner will also receive a separate Partner Identification Number (PIN) that is DIFFERENT FROM THEIR REFERRAL ID. This PIN number must also be included in the Web form post to insure recognition for the Opportunity.

Each Affiliate Partner will have access to an InsideSales.com Account Executive, who will be available to assist the Partner in their efforts to generate referrals, and in presenting InsideSales.com products and services to their prospects.

An InsideSales.com Referral Partner Logo will be available to download from the Partner Portal Web site. Please read SECTION 11 of the Agreement before use of the Logo.

The Partner will receive Demonstration Tools in the form of a license to a hosted InsideSales.com Demo Account for the purpose of demonstrating the InsideSales.com system to referral candidates. Use of the Demonstration Tools will be governed by the InsideSales.com Master Terms and Conditions.


4. Partner Commission Payments

The Partner will receive a Commission Payment for each Opportunity that Partner submits to InsideSales.com that results in a Qualified Purchase. Each Opportunity must be submitted to and accepted by InsideSales.com prior to being eligible for a Commission Payment. Please refer to SECTIONS 1 and 3 of the Agreement for more information on Commission Payment eligibility and Qualified Purchases.

COMMISSION STRUCTURE
Commission Payment Rate: 15% of Net Qualified Purchases
Eligibility Period: First 12 Months of Customer Life

Commission Payments are calculated on a cash basis (money received by InsideSales.com net of any refunds issued to the End User for the Service). Payment for Qualified Purchases must be received during the Eligibility Period to be included in calculations for Commission Payments. The Commission Payment is calculated by multiplying all cash received, less any credits or refunds issued, for Qualified Purchases by the Commission Payment Rate. Commission Payment will be paid by InsideSales.com to the Partner within forty-five (45) days of the calendar month in which the Commission Payments were earned. InsideSales.com will issue no payment for Commission Payments in an amount less than $500. In the event the amount owed is less than $500, the Commission Payments will accrue until the aggregate of accrued Commission Payments exceed $500, at which time the Commission Payments will be paid in full.

EXAMPLE

The Partner refers three (3) Opportunities to InsideSales.com, which subsequently render $15,000 per month in Qualified Purchases collectively. In the first month, a cumulative $15,000 is billed, $7,000 is received in cash, and $500 is issued in refunds among the three End Users. In the second month, a cumulative $15,000 is billed, $23,000 is received in cash, and no refunds are issued among the three End Users. The Partner's Commission Payment Rate is 15%. Commission Payments for the two months will be calculated as follows:
