InsideSales.com VAR Partner Program
Description
This Partner Program is designed specifically for value-added resellers (VARs), providing a more comprehensive scope of partnership than our Affiliate Referral program. The VAR Partner Program requires applicants to be market-specialized resellers who provide extensive market penetration for the InsideSales.com Service.
In other terms, the goal of a VAR Partner is not simply to provide referral candidates who may find value with the InsideSales.com system. Instead, a VAR should provide services, training, best practices, strategies, and long-term relationship engagement with clients and potential clients. Though very rare exceptions may be made on a case-by-case basis, VARs are required to identify a specific target market or vertical in which they intend to sell/resell services, and the methodologies by which the Partner will achieve added value for InsideSales.com clients.
VAR Partners are generally considered to be strategic, long-term partners whose goals align with InsideSales.com's, and as a result, they receive a much broader level of benefits, sales support, and potential compensation beyond standard Referral Partners. Due to the high level of support and integration required for VAR Partners, membership in the VAR Partner Program is by INVITATION ONLY.
Purpose
This document outlines the current policies, commission payment schedule, and requirements to become an InsideSales.com VAR Partner. This version of the VAR Partner Program Description ("The Description") replaces and supersedes any previous versions of the VAR Partner Program Description.
In addition to this document (i.e., the VAR Partner Program Description, or "The Description"), partners agree to be bound by the InsideSales.com Partner Program Terms and Conditions ("Partner Terms").
The combination of the Description and Partner Terms form the complete InsideSales.com Partner Program Agreement ("The Agreement"). As per the Partner Terms, InsideSales.com may change the content of this document. Please read these policies carefully as they contain the specific membership requirements and benefits applicable to the VAR Partner Program.

1. Joining the InsideSales.com Partner Program
Welcome to the InsideSales.com VAR Partner Program. Please read carefully the following information about membership in the VAR Partner Program.

To get started in the VAR Partner Program, submit the Partner Program Application so that we can verify your eligibility for the VAR Program. Once your application has been approved by InsideSales.com, you will be required to accept all items in this description ("the Description"), the Partner Terms and Conditions ("Partner Terms"), which constitute the complete InsideSales.com Partner Program Agreement ("the Agreement").
Once eligibility has been verified, qualified partners will begin receiving the membership benefits and commission payments as described below.
2. Partner Program for Value-Added Resellers ("VARs")
As mentioned previously, all VARs are required to specify in their Program application the markets into which they intend to sell the Service (“targeted vertical markets”), and the additional value they intend to offer to InsideSales.com customers (“core offerings”). VARs receive additional benefits, sales support, and potential compensation beyond the standard Referral Partner Program, as outlined in the following sections.
Upon the Partner's acceptance to the Partner Program for VARs, InsideSales.com appoints the Partner as a nonexclusive reseller of the Services to End Users solely within the Territory. This appointment is subject to the Agreement and is neither assignable nor transferable without the prior written consent of InsideSales.com. Rights not expressly granted in the Agreement are reserved by InsideSales.com. Partner understands and acknowledges that InsideSales.com and its other resellers may sell the Services directly and indirectly to End Users in the Territory.
3. Membership Eligibility and Requirements
The following represents the VAR Partner's eligibility and requirements under the VAR Partner Program.

As mentioned previously, eligible VARs must be invited by InsideSales.com directly to qualify for the VAR Partner Program. VAR Partners are required to have conducted business in the United States or Canada for a minimum of 5 years. Additionally, VARs must generate a minimum of $10,000 in monthly Qualified Purchases (as defined in SECTION 1.6 of the Agreement) to maintain their status as a VAR Partner.
In no way does an invitation from InsideSales.com, qualification under the eligibility requirements, or submission of the Partner Program Application guarantee acceptance to any Partner Program.
A partner whose application is approved by InsideSales.com and is accepted to the VAR Partner Program is required to accept total Program Agreement ("the Agreement") as outlined previously, evidenced by signing below. The Agreement, comprising the Description and Program Terms (and any Appendices) represents the entire agreement between the parties relating to contractual subject matter of partnership. If at any time the Partner is not in compliance with any requirement, InsideSales.com may terminate this Agreement in accordance with Section 12.3 of the Partner Terms.
This Partner Program is for an automatically renewing 1 year term, as defined in SECTION 12.1 of the Agreement. Non-termination of the Partner Program, on the part of the Partner, will be construed as acceptance by the Partner to the renewal terms of the Program.
4. Membership Benefits and Resources
The following represents the Partner's benefits and resources under the Partner Program.

VAR Partners will be assigned a Referral Number, which is used for all lead/opportunity tracking, agreements, referral tracking and referral payments tied to a specific VAR partner.
For online referrals, the Referral Number will need to be included in any information submitted to InsideSales.com, either through the InsideSales.com online Partner Portal, via Web form, or any other means.
Partners will be assigned a specific Referral Tracking Post URL. This is a unique Web URL address which the Partner can use to post Opportunity information for InsideSales.com. In addition to the standard Referral Number, the Partner will also receive a Partner Identification Number (PIN) which must be included with any posted information to insure recognition for the Opportunity.
An Account Executive from InsideSales.com will be available to assist the Partner in a number of activities, including receiving referrals, presenting/demonstrating InsideSales.com services and products, and working with opportunities.
An InsideSales.com will provide a series of digital media Referral Partner Logos, available to download on the Partner Web Site for Partner use. Please read SECTION 11 of the Agreement before use of the Logo.
InsideSales.com will provide a series of Partner Program Banner(s) to be displayed online.
VAR Partners will have access to the InsideSales.com Partner Portal, giving partners the ability to review referred accounts, opportunities in progress, and a history of Commission Payments, as well as other VAR resources.
InsideSales.com publishes Executive Quotes in Partner Press Releases, which will periodically include quotes and references from VAR Partners.
The Partner will receive Demonstration Tools in the form of a license to a hosted InsideSales.com Demo Account for the purpose of demonstrating the Service for Opportunities. Use of the Demonstration Tools will be governed by the InsideSales.com Software Terms and Conditions.
The VAR will also receive Unlimited Customer Support, with access to the InsideSales.com Community Website (http://community.insidesales.com), and unlimited email or support portal correspondence with the InsideSales.com Customer Support Department.
4. Partner Commission Payments
The Partner will receive a Commission Payment for each Opportunity that the Partner submits to InsideSales.com that results in a Qualified Purchase. Each Opportunity must be submitted to and accepted by InsideSales.com prior to being eligible for a Commission Payment. Please refer to SECTIONS 1 and 3 of the Agreement for more information on Commission Payment eligibility and Qualified Purchases.

Commission Payments are calculated on a cash basis (money received by InsideSales.com net of any refunds issued to the End User for the Service). Payment for Qualified Purchases must be received during the Eligibility Period to be included in calculations for Commission Payments. The Commission Payment is calculated by multiplying all cash received, less any credits or refunds issued, for Qualified Purchases by the Commission Payment Rate. Commission Payment will be paid by InsideSales.com to the Partner within forty-five (45) days of the calendar month in which the Commission Payments were earned. InsideSales.com will issue no payment for Commission Payments in an amount less than $500. In the event the amount owed is less than $500, the Commission Payments will accrue until the aggregate of accrued Commission Payments exceed $500, at which time the Commission Payments will be paid in full.
